# Terms of Service

These terms are an agreement between you and AGI Ventures Canada, Inc. and its affiliates ("AGIV", "we", "us" and "our"). Oatmilk is a service of AGI Ventures Canada, Inc. These terms cover the Oatmilk website, app, terminal app, AI connector and everything else we offer under the Oatmilk name (the "Service").

 

By using the Service, you agree to these terms. If you don't agree, don't use the Service. If you use the Service for a company, you agree for that company and confirm you are allowed to.

 

Our [Privacy Policy](/privacy) explains how we handle personal information and is part of these terms.

 

 

The Service helps companies keep their books and paperwork: sort transactions, match receipts, send invoices, write and sign agreements, pay contractors, get ready for tax time and ask questions about their records.

 

You agree to use the Service only for lawful purposes and as these terms allow.

 

 

- Give true information and keep it up to date.

- Keep your sign-in safe. You are responsible for what happens in your account, including what people you invite and AI apps you connect do with the access you give them.

- The people who run a company in Oatmilk decide who can join it and what each person can see and do.

- Tell us right away at [privacy@agiventures.ca](mailto:privacy@agiventures.ca) if you think someone else is using your account.

 

 

Your company owns its records and the files you put in. You give us permission to store, copy and work with them only to run the Service for you, as our [Privacy Policy](/privacy) describes. You can export your records at any time.

 

Make sure you are allowed to put information into the Service, including details about your contractors, customers and the people who sign your documents.

 

 

Don't use the Service to:

 

- break the law, or help anyone else break it;

- mislead, cheat or harm anyone;

- send spam or unwanted messages;

- get into accounts or data that aren't yours;

- slow down, overload or attack the Service, or get around its limits or security;

- copy the Service to build a competing one using our content, design or brand.

 

We may pause or close an account that does.

 

 

The Service uses AI to read documents, sort charges, write drafts and answer questions. AI can make mistakes. Check what the Service suggests before you rely on it, especially categories, tax amounts, documents and anything you send to someone else.

 

The Service is not an accountant or a lawyer, and nothing in it is tax, legal or accounting advice. **Oatmilk never files a tax return or pays tax for you.** You and your professional advisers decide what to file, pay and sign. Where the Service applies a tax rule, it links to the official source so you can check it.

 

 

The Service works with other services, such as your bank, Wise, Stripe, Gmail and AI apps like Claude and ChatGPT. Their own terms apply to them, and we aren't responsible for what they do. A payout sent with Wise goes only after someone with permission approves it.

 

Electronic signatures in the Service record who signed, when and how. Whether a signed document is right for your situation is up to you and your advisers.

 

 

The Service, including its content, features, design and the Oatmilk name and logo, belongs to AGIV and is protected by copyright, trademark and other intellectual property laws. Except as these terms or the software license below allow, you may not copy, share or build on it without our written permission.

 

Oatmilk's software, including the terminal app, is licensed under the GNU Affero General Public License, version 3. That license covers the code. These terms cover using the Service we run. If you run Oatmilk on your own computer or server, the license applies to your copy and you are responsible for running it.

 

 

We treat your company's records as confidential. We handle them as our [Privacy Policy](/privacy) and any separate confidentiality agreement with you describe. Keep anything we share with you in confidence, such as details of the Service that aren't public, confidential too.

 

 

We work hard to keep the Service running and correct, but we provide it "as is" and "as available". To the extent the law allows, we don't promise that it will always be available, that it will have no errors, or that it fits a particular purpose.

 

 

To the extent the law allows, AGIV is not responsible for indirect, incidental, special, consequential or punitive losses, such as lost profits, lost data or penalties, that come from using or not being able to use the Service. Our total responsibility for any claim is limited to the greater of what you paid us for the Service in the 12 months before the claim and CA$100.

 

Nothing in these terms limits rights you have that the law says can't be limited.

 

 

You can stop using the Service and close your account or your company at any time. Before you close a company, export its records; tax law may require you to keep them.

 

We may pause or end your access if these terms are broken, or if we stop offering the Service. Unless something urgent stops us, we will give you notice and time to export your records.

 

The parts of these terms that by their nature should last after your access ends, such as ownership, confidentiality, the disclaimer and the limits on liability, still apply.

 

 

We may change these terms from time to time. When we do, we will post the new terms on this page and change the "Last updated" date at the top. For important changes, we will tell you before they take effect. If you keep using the Service after a change takes effect, you agree to the new terms.

 

 

These terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of law rules. You and we agree that the courts of Ontario may hear any dispute about these terms or the Service.
